Before the 2018 modification to the corporate governance code, the degree of compliance among DSE-listed businesses was worrying since they did not adhere to key clauses. The purpose of the research is to analyze the degree of compliance and the factors influencing compliance, this thesis looks at whether the Bangladeshi Code of Corporate Governance is being followed. The study analyzes the compliance level, the most non-compliant sections with the Code, and the trend of the index in order to make it easier to comprehend how widely accepted the Code is. Using the corporate governance index this research analyzes the compliance level using secondary data which are collected from the DSE and company websites, and the stakeholder theoretical approach was applied in this case to interpret the outcome. The compliance of the firms listed on the DSE was significantly impacted by the 2018 modification to the corporate governance code. The investigation reveals that the sample companies' corporate levels of compliance are on the moderate side. On the other hand, the provisions that haven't been followed suggest that firms forgot about some but mainly the Nomination and Remuneration Committee. Finally, the sample companies demonstrated consistency in terms of compliance. This study unequivocally demonstrates the moderately positive compliance level following the 2018 modification to the corporate governance code. However, more research is required to establish primary data by interviewing company executives and over a long time horizon.
